Terms of Sale
Types of License ​We offer two types of licenses for Ristomanager:

Payment Methods 
We accept payments through PayPal, bank transfer, and credit card. If you choose to pay by credit card, you will be required to subscribe via Stripe. With the subscription option, the payment will automatically renew every month. For other payment methods, full payment will be required at the time of purchase.
The subscription plan is valid for a minimum of 12 months. 
Delivery and Installation. ​After completing the payment, the Ristomanager program will be accessible directly from the browser. You will be provided with a username and password to access the program. If you have already tried the program's demo version and obtained login credentials, you can use the same ones even after purchasing the license.
Return Policy. ​Please note that we do not accept returns for Ristomanager software licenses. We encourage you to carefully evaluate the specifications and features of the program before making the purchase. If you have any questions or concerns, feel free to contact our customer service.

Terms and Conditions of Sale for the Electronic Invoice Module with Aruba
 ​The service offered by Ottobyte deals with managing electronic invoices through our software with the assistance of the internet via Aruba's interchange service. The module has been designed to work with Aruba's WebApi service; once the module is purchased, the software will have the ability to interface with Aruba's server. The duration of the module is relative to the fiscal year, so for example, if the plan is purchased on June 30, 2024, it will expire on December 31 of the same year. To operate this module, activation of Aruba's electronic invoicing started service is required. In case of termination of the service, users must provide written notice at least two months before December 31 of each year, sending a registered letter to both us and Entaksi. It is emphasized that the termination deadline always coincides with the fiscal year, regardless of the service purchase date. For example, if the purchase is made in May, termination must still be submitted by December. We back up information related to electronic invoicing every day at midnight. However, if users wish to switch to another service provider, they are responsible for independently migrating invoices to the new platform. This can be done by accessing the user area and importing invoices into the new system. It is stressed that Ottobyte assumes no responsibility for the process of migrating invoices to other providers. Users are encouraged to carefully read and understand these terms and conditions before using our electronic invoicing service. Continued use of the service implies acceptance and adherence to these terms. ​If you have any questions or need further information, please don't hesitate to contact us. License Terms
The following Terms and Conditions govern the use of the Ristomanager desktop software for restaurant management. Please read these conditions carefully before using the software, as the use of the program implies acceptance of these terms. ​License Duration. ​The Ristomanager software is licensed, not sold. The license duration is valid for a period of one year from the date of purchase, unless otherwise specified in the specific contractual agreement. Please note that the license is subject to annual renewal. ​Usage Restrictions. ​The Ristomanager software is intended for the exclusive use of the customer who has acquired the license. It is prohibited to distribute, copy, modify, or sublicense the software without written authorization from Ristomanager. The customer agrees to use the program solely for legitimate purposes and in accordance with all applicable laws. L​Transfer Limitations. ​The software usage license is limited to the customer who made the purchase and cannot be transferred or assigned to third parties without the written consent of Ristomanager. Any attempt to transfer the license without authorization will constitute a violation of the license terms and may result in the revocation of the license. ​Customer Responsibility. ​The Customer is responsible for the use of the Ristomanager software. In particular, the Customer agrees not to use the program for illegal or immoral activities, nor to violate the rights of third parties. The customer is required to adopt adequate security measures to protect access to the software and sensitive information. ​Data Backup. ​Ristomanager shall not be liable for any data loss caused by malfunctions or technical issues of the software. It is recommended that the customer regularly backs up their data in a secure environment to prevent the loss of important information. Technical Support. ​Ristomanager provides technical support for the software during established support hours. The customer is encouraged to contact customer service to request assistance or resolve any technical issues.​ Changes to Terms and Conditions. ​Ristomanager reserves the right to make changes to these Terms and Conditions at any time. Any changes will be published on the Ristomanager website. Continued use of the software after the publication of changes will constitute acceptance of such changes. ​Acceptance of Terms and Conditions. ​The use of the Ristomanager software indicates the unconditional acceptance of these Terms and Conditions by the customer. In case of disagreement with these terms, the customer is required to refrain from using the program.

Software Updates for Ristomanager
We are committed to providing users of our management software with a consistently enhanced experience. For this reason, we regularly offer software updates that include new features, performance improvements, and bug fixes. The costs of software updates are included in the annual license fee. During the validity period of the license, there are no additional costs for updates. However, in the event that the license is not renewed at the end of the year, an additional cost may be required to continue receiving subsequent updates. Our dedicated team will handle the installation of Ristomanager software updates. The updates will be automatic and included in the annual License purchase price. You won't have to worry about installation; we'll take care of everything. Ristomanager software updates are released periodically, based on development needs and the new features we intend to introduce. The frequency of updates may vary, but we assure you that we are committed to providing regular updates to ensure that the software is always aligned with your business needs.

Warranty Terms
Limitations: (a) The Ristomanager software contains trade secrets, and to protect them, it is prohibited to conduct REVERSE ENGINEERING, DECOMPILATION, DISASSEMBLY, OR OTHERWISE REDUCE THE SOFTWARE TO HUMAN PERCEPTIBLE FORM, EXCEPT AS PROVIDED BY APPLICABLE LAW. MODIFICATION, ADAPTATION, TRANSLATION, RENTAL, LEASING, LOANING, OR CREATION OF DERIVATIVE WORKS BASED ON THE SOFTWARE OR ANY PART OF IT IS PROHIBITED. (b) Transfer or assignment of the rights granted by this License to third parties without prior written consent from Ristomanager is not permitted. Termination: This License is effective until terminated. The License shall terminate immediately without notice from Ristomanager if the obligations under the License are not fulfilled. Upon termination, the Ristomanager software, all accompanying materials, and any copies thereof must be destroyed. Articles 5, 6, 7, 8, 9 of the License shall remain valid even after termination. Compliance with export regulations: The Ristomanager software may only be used or exported in accordance with the laws of Italy and the jurisdiction in which the software was obtained. Limited warranty: Ristomanager warrants for a period of sixty (60) days from the date of purchase (if the license is covered by a support and update contract, the warranty is extended until the expiration of the contract) that the support in which the software is embedded, if any, is free from defects in materials and workmanship under normal use conditions. Additionally, Ristomanager warrants that the software has undergone functionality testing in accordance with Ristomanager's Quality plans. Any operational discrepancies from what is indicated in the user guide should be reported to customer support, preferably in writing, providing necessary information to reproduce the error. Ristomanager does not warrant that the software is error-free but undertakes to provide any possible solution as quickly as possible. Ristomanager shall not be liable for deterioration of media after product installation. After the warranty period, the media will not be replaceable.


Competent Court
Should a legal dispute arise between Ottobyte and users of the site, the competent court will be the court of Brindisi, in accordance with the prevailing laws.
Jurisdiction: The applicable jurisdiction for any disputes shall be that of the city of Brindisi, Italy. 
 T​Competent Court: The competent court to resolve disputes shall be the Court of Brindisi, Italy. This provision establishes the agreement of the parties regarding jurisdiction and the competent court for any disputes arising from the use of our services or the relationship between Ottobyte and the site users. Please note that this clause does not preclude the possibility of resorting to alternative dispute resolution methods, such as mediation or arbitration, if the involved parties agree to such methods outside the judicial system. 

Dispute Resolution
In case of disputes between Ottobyte and the users of the site, the following procedures can be followed for resolution:Contact Customer Support: If you have a dispute or require assistance, you can contact our customer support service. Submitting Complaints or Reports: If you wish to file a complaint or report, you can do so by sending an email to the address [email protected]. Please make sure to provide all relevant information about the dispute or report so that we can evaluate it and respond accordingly.
Friendly Resolution: Ottobyte encourages a friendly resolution of disputes. Therefore, we will strive to address users' concerns promptly and in a manner that achieves a satisfactory solution for both parties involved.Other Dispute Resolution Options: In addition to the procedures described above, the parties involved may agree to use alternative dispute resolution methods, such as mediation or arbitration. Such options can be explored by mutual agreement to achieve an effective and less formal solution than the judicial system. Please note that the availability of such alternative options and their procedures may vary depending on specific circumstances and applicable laws. Ottobyte is committed to working in good faith to resolve any disputes and provide assistance to our users.
